Das deutsche Aktienrecht statuiert wie andere Juridiktionen das Verbot, eine Aktie in Einzelgesellschaftsrechte aufzuspalten (vgl. § 8 Abs. 5, § 405 Abs. 3 AktG). Dieses Abspaltungsverbot ist gemeinsam mit dem Parallelprinzip der Proportionalität von Aktie und Teilhaberechten eine Ausprägung der Verbandssouveränität, aus der positiv folgt, dass alleine die Verbandsmitglieder als Inhaber des wirtschaftlichen Residualrisikos der Beteiligung im Rahmen des Verbandszwecks und des Unternehmensgegenstandes autonom ihre Ziele festlegen und deren Umsetzung durch die Verwaltung kontrollieren können müssen. Dies gewährleistet im bestmöglichen Maße die Richtigkeit der Willensbildung im Verband, reduziert die Risiken aus der Verfolgung von Partikularinteressen und insgesamt die Agency Costs bei der Anbindung der Geschäftsführung an die Willensbildung der Verbandsmitglieder. Auf der Basis breiten Anlegervertrauens in die Effizienz und Gerechtigkeit des Abspaltungsverbots unterstützt jenes Verbot auch die Kapitalmarkteffizienz. Nun ermöglichen heute bestimmte, zum Teil komplexe Vertragskonstruktionen und die hohe Liquidität von Derivatmärkten die synthetische Aufspaltung von Aktien vor allem in Stimmrechte und das wirtschaftliche Aktiensubstrat (Stichworte von Empty Voting und Hidden Ownership). In einem ersten Teil veranschaulicht der Beitrag anhand von Praxisfällen und unter Erläuterung der jeweiligen Vertragskonstruktion die Problemlage einer solchen synthetischen Aufspaltung. Nach einer wertenden Analyse des Abspaltungsverbots in einem zweiten Teil wird im abschließenden dritten Teil des Beitrags ein umfassender rechtspolitischer Regulierungsvorschlag unterbreitet, in dessen Mitte die Ablösung der bisherigen Einzelanknüpfung insbesondere der kapitalmarktrechtlichen Transparenzvorschriften an den Stimmrechtsbesitz durch eine alternative Doppelanknüpfung an Stimmrechtsbesitz sowie an Beteiligung am wirtschaftlichen Substrat und ferner die Weiterentwicklung von Stimmrechtsverboten steht. The German stock corporation law, like other jurisdictions, prohibits splitting a share into the separate rights that a share is made up of (cf. Section 8 (5), Section 405 (3) AktG; so-called Abspaltungsverbot). Such prohibition of share splits, together with the proportionality principle (one share, one vote), is derived from the overarching principle of sovereignty of shareholders (Verbandssouveränität), which in turn demands that only shareholders as owners of the residual risk of the enterprise should be allowed to determine its economic aims and to control that it is managed in line with these aims. This concept ensures, in the best possible way, that the right decisions are made within the company, it reduces the risks resulting from individual shareholders pursuing their particular interests despite being contrary to the best interest of the company (i.e. the aggregate interest of all stakeholders), and, finally, it reduces the agency costs of aligning management with the decision-making process of the shareholders. Since the prohibition of share splits is widely accepted and relied on by investors as an efficient and fair principle, it also strengthens capital market efficiency. However, nowadays and due to specific, sometimes complex contractual structures and high liquidity in derivatives markets, it is possible to virtually split shares into their parts, in particular into voting rights on the hand and the participation in their economic substance (such as market value and underlying risks and opportunities, dividend rights, etc.) on the other hand. As a starting point and based on precedents of empty voting and hidden ownership, this article analyzes the respective underlying contractual structures as well as the legal and economic areas of concern. After showing, in the second part of the article, that the traditional prohibition of share splits has significant merits, the article, in the third part, will set out a comprehensive proposal for statutory reform. The key element of this proposal is directed at replacing the exclusive link between current capital markets statutes (in particular those dealing with transparency of shareholdings) and the ownership of voting rights with a two-fold link that ties these statutes, alternatively, either to ownership of voting rights or to economic ownership in the share; violations should be sanctioned by restricting voting rights.

In dem weit ausgreifenden Gefüge der Geschäftsleiterpflichten ist die Gefahr einer „Kollision“ verschiedener Pflichten groß. Der Beitrag behandelt Fälle, in denen einzelne Pflichten des Geschäftsführers einer GmbH und des Vorstands einer AG in eine Konfliktlage geraten, weil sich die jeweiligen Handlungsvorgaben prima facie als miteinander unvereinbar erweisen. Der Geschäftsleiter steht dann vor der Frage, welcher Pflicht er Folge leisten muss. Ein aktuelles Beispiel liefert die Vermögenserhaltungspflicht des § 64 GmbHG/§92 Abs. 2 AktG, die mit der strafrechtlich abgesicherten Pflicht zur Abführung der Sozialversicherungsbeiträge kollidieren kann. Wie ein solcher Konflikt dogmatisch sauber aufzulösen ist, ist bisher wenig durchdrungen worden. Rechtsprechung und Schrifttum haben die Problematik von Pflichtenkollisionen im Gesellschaftsrecht bisher kaum als eine Querschnittsmaterie erkannt und noch keine allgemeinen Lehren entwickelt. Der Beitrag stellt sich dieser Aufgabe und zeigt erste Ansätze zu einer Lösung der Problematik auf. Directors of a corporation are bound to a wide-spread range of duties. Within the regime of directors' duties, some duties may come into conflict with others. The following article examines cases, in which such a conflict arises, as the requirements of the respective duties appear, at first glance, to be incompatible. In cases like these, the director is left with the decision which duty to follow. A highly topical example is the collision between the duty to preserve a company's assets upon entering a state of insolvency (§§ 64 GmbHG, 92 para. 2 AktG), and the duty to discharge social security contributions. The debate on how to solve such a conflict of duties has yet to come to coherent and dogmatically satisfying results. Both courts and literature have hitherto failed to identify conflict of duties as a general problem and to develop general principles for its solution. This article tackles this task and aims to show comprehensive preliminary approaches that may help deepen the understanding of the „Pflichtenkollision“ in the area of company law.

Das System der Kapitalmaßnahmen der GmbH unterschied sich vom Aktienrecht in der Vergangenheit insbesondere dadurch, dass bedingte Kapitalerhöhungen und solche durch Ausnutzung eines genehmigten Kapitals nicht zugelassen waren. In Anlehnung an die aktienrechtlichen Vorschriften lässt der durch das MoMiG eingefügte § 55a GmbHG nunmehr auch in der GmbH zu, dass die Geschäftsführer kraft satzungsmäßiger Ermächtigung eine ordentliche Kapitalerhöhung durchführen. Vor diesem Hintergrund geht der Beitrag der Frage nach, inwiefern das genehmigte Kapital die grundsätzliche Dogmatik des GmbHRechts beeinflusst. Nach einem Blick auf die Entstehungs- und Entwicklungsgeschichte dieses Rechtsinstituts bei der AG wird im Rahmen eines Rechtsvergleichs auf verwandte Rechtskonstruktionen im Ausland eingegangen, bevor sich der Beitrag näher mit der Einführung des genehmigten Kapitals bei der GmbH sowie dessen rechtsdogmatischer Struktur auseinandersetzt. Im Anschluss daran, stehen zwei zentrale Fragestellungen im Mittelpunkt der Erörterungen: Zum einen wird die Frage behandelt, in welchem Verhältnis das genehmigte Kapital zur regulären Kapitalerhöhung in der GmbH steht, namentlich, ob der neue § 55a GmbHG die Gestaltungsfreiheit der GmbH-Gesellschafter bei der ordentlichen Kapitalerhöhung einschränkt. Zum anderen wird danach gefragt, wie sich die Besonderheiten der GmbH-rechtlichen Organisationsstruktur, insbesondere das Weisungsrecht der GmbH-Gesellschafter gegenüber den Geschäftsführern, auf die Interpretation der neuen Vorschrift auswirken. Der Beitrag schließt mit einer ausführlichen Würdigung des genehmigten Kapitals der GmbH de lege ferenda. Es wird sich zeigen, dass der deutsche Gesetzgeber mit der Einführung des genehmigten Kapitals bei der GmbH den richtigen Weg eingeschlagen hat. For a long time, the main difference between the two systems of corporate actions of both the GmbH (private limited company) and the AG (joint stock corporation) was that the GmbH was confined to increase its equity capital through shareholder resolutions only, whereas stockholders had the opportunity to provide the AG with an authorized capital. Under the German Act to Modernize the Law Governing Private Limited Companies and to Combat Abuses (Gesetz zur Modernisierung des GmbH-Rechts und zur Bekämpfung von Missbräuchen – MoMiG), the GmbH's directors may also be empowered to issue shares based on an authorized capital of the GmbH (sec. 55a GmbHG). In this regard, the article shows in what way and in what extent the authorized capital of the GmbH influences the legal doctrine of the entire Law Governing Private Limited Companies. First, I outline the historical development of the authorized capital, before I take a comparative law approach to the foreign concepts of authorized capital. Thereafter, I show how the authorized capital made its way into the renewed Law Governing Private Limited Companies, and I investigate, whether the introduction of the authorized capital changes—especially limits—the scope of application of the ordinary corporate action to increase a company's equity capital. Furthermore, I discuss, in which way the GmbH's particularities compared to the AG—especially the shareholders right to instruct directors—influence the application of an authorized capital of the GmbH. The article concludes with remarks on the legal policy of the GmbH's authorized capital. I show that introducing the authorized capital to the Law Governing Private Limited Companies was basically the right decision.

Der Beitrag analysiert die Änderungen des § 135 AktG durch das Gesetz zur Umsetzung der Aktionärsrechterichtlinie (ARUG) im historischen, rechtsvergleichenden und europarechtlichen Kontext. Die Regelung steht im Spannungsfeld von Corporate Governance, Präsenzsicherung und prozeduraler Effizienz. Mit der Einzelweisung, der Generalvollmacht gemäß eigenem Vorschlag des Vertreters oder gemäß dem Vorschlag der Verwaltung und dem Weiterleitungsauftrag sind vier Grundmodelle der institutionellen Vertretung auszumachen. Der Beitrag geht auf diesbezügliche Detailfragen ein. Nach Ansicht der Verfasser markiert die Neuregelung einen Paradigmenwechsel von einer bankspezifischen Regel, die auf materiell richtige Stimmrechtsausübung zielte, zu einer allgemeinen Regelung von Interessenkonflikten bei der Vertretung durch institutionelle Vertreter. Nur der Weiterleitungsauftrag gem. § 135 Abs. 1 Satz 5 AktG fokussiert auf die Depotbankfunktion. Damit steht erstmals ein Instrument zur Verfügung, das die Verfahrenshürden bei der Legitimation und Bevollmächtigung kommerzieller Stimmrechtsvertreter überwindet. Allerdings trifft nur solche Depotbanken die Weiterleitungspflicht, die im Rahmen der Vertretung tätig sind. Sollten die passiven Depotbanken nicht freiwillig den Weiterleitungsauftrag aufgreifen, ist diesem als Nukleus eines Marktes institutioneller Stimmrechtsvertretung größere gesetzgeberische Aufmerksamkeit zu widmen. The article deals with the amendments of section 135 of the German Stock Corporation Act (‚AktG‘) by the Bill implementing the Shareholders' Rights Directive (‚ARUG‘). It considers the amendments made by the ARUG from a historical, comparative and a European perspective. Section 135 of the AktG functions as a focal point of three different aspects of corporate law: corporate governance, the securing of an adequate attendance of shareholders at shareholder meetings and procedural efficiency. Section 135 of the AktG enables four different methods of institutional representation of shareholders at shareholders' meetings: 1) representation by a proxy that is instructed by the shareholder on how to exercise the voting rights, 2) uninstructed representation along the lines of the proxy's own proposals, 3) uninstructed representation along the lines of the board's proposals, and 4) forwarding the relevant identification and authorization to a proxy that is different from the depositary bank and that is chosen by the shareholders whose shares are represented at the meeting when opening their account, or at any time thereafter. The authors hold that the reform of section 135 of the AktG marks a paradigm shift. Prior to the reform, section 135 of the AktG contained bank-specific rules that were aimed at achieving the pursuit of the shareholders' best interest (whatever this is) when depositary banks exercise voting rights. Now, section 135 of the AktG deals with the conflict of interests of institutional proxies, in general. Only the forwarding of the relevant identification and authorization to a proxy defined by the shareholders is specific to the depositary function. This duty to forward overcomes the hurdles which commercial proxy institutions face when exercising shares in German shareholders' meetings. However, the duty to forward the relevant materials to a proxy does not apply to depositaries that refrain from exercising voting rights on behalf of shareholders; it only applies to depositary banks that represent other shareholders in the shareholders' meetings. Unless the depositaries that do not engage in proxy voting forward the relevant materials voluntarily to the shareholders' proxies, Parliament is well advised to make all depositaries subject to the duty to forward the relevant materials to a proxy defined by the shareholders.
