Zusammenfassung Keine der Vorschriften des neuen deutschen Vergaberechts ist in ihrer Auslegung und in ihrer Wirksamkeit so umstritten wie § 107 Abs. 1 Nr. 4 GWB. Mit diesem Beitrag soll versucht werden, Klarheit in diesem Streit zu gewinnen.

This article focusses on the non-coordinated effects of minority shareholdings in oligopolistic markets. It is demonstrated that minority shareholdings even when they fall below the usual thresholds can lead to a significant impediment of effective competition (SIEC) on a purely non-coordinated basis. This is particularly likely in a market with differentiated products, when a firm partially acquires shareholdings in its closest competitor and when the next best alternative products are only weak substitutes.

Since 2008, the settlement procedure of the EU Commission has been established as an additional possibility to terminate cartel proceedings that exists alongside the standard fine procedure. So far, the Commission has used this procedure to conclude twenty-one proceedings. With these decisions adopted under the settlement procedure, the Commission’s relatively new instrument to handle cartel cases has proven to have reached its efficiency-seeking goal. This article provides an overview of the underlying rules, summarizes the EU Commission’s practice between 2008 and now, and outlines the benefits and potential downsides of the procedure.

Zusammenfassung Den Kartellbehörden ist manche rechtliche Vorgabe ein nachvollziehbarer Graus. Gerade über das Gesellschafts- und das Umwandlungsrecht haben in den vergangenen Jahren einige Unternehmen, die – zumindest aus Sicht der Wettbewerbshüter – als Kartellanten überführt waren, sich durch innovative gesellschaftsrechtliche Gestaltungen der Bebußung entziehen können. Gegen solche Gestaltungen hat der EuGH den Kartellbehörden allerdings ein Mittel an die Hand gegeben, das so wirkt wie der Zaubertrank im kleinen gallischen Dorf: der effet utile. Das Effektivitätsgebot wird vermehrt eingesetzt, um herkömmliche dogmatische Strukturen im Sanktionsrecht der Mitgliedstaaten zu überwinden und das Kartellbußgeldrecht an die flexible europäische Rechtslage anzugleichen. Der Beitrag untersucht diese Harmonisierungstendenzen hin zum einheitlichen Kartellordnungswidrigkeitenrecht kritisch und legt dar, dass der derzeit inflationäre Gebrauch des effet utile die Grenzen des rechtlich Zulässigen überschritten hat.

“Minimum Advertised Price” (MAP) policies prohibit retailers from advertising prices below a certain amount fixed by their suppliers. Legally, they leave the final decision on resale pricing to the retailers. However, given that, especially in the context of online sales, the communication of discounts through advertising is one of the retailers’ “key incentives” for price competition, MAP policies raise specific issues as to where the dividing line between (unlawful) price and (lawful) non-price restraints in vertical agreements is drawn. In this respect, the following contribution analyses MAP policies both under U.S. antitrust and EU competition law. With regard to the latter, it will particularly focus on two recent UK decisions.
