This essay, after determining the characteristics constituting a codification, sets out the historical conditions for the creation of national codifications in the late 18 th and early 19 th centuries. It then deals with a number of myths and misconceptions associated with codifications. The Proposal for a Regulation on a Common European Sales Law has now firmly placed the issue of codification on the European legal agenda. The essay therefore attempts to assess its chances of success against the background of the historical experiences; thus, it considers the arguments that have, in the past, been advanced in favour of codifications of private law and also looks at other factors that have contributed to their success. All in all, the auspices for a European Code of Contract Law, let alone a Civil Code, are far from ideal. Résumé Après avoir posé les éléments caractéristiques d’une codification, nous exposerons les conditions historiques de la création des codifications nationales à la fin du 18ème et au début du 19ème siècle. À l’époque, un certain nombre de mythes et d’opinions erronées étaient associés aux codifications. La proposition de règlement relatif à un droit commun européen de la vente a à présent fermement inscrit la codification à l’agenda législatif européen. Nous essaierons alors d’évaluer ses chances de succès par rapport aux expériences historiques; nous examinerons alors les arguments qui ont été avancés, dans le passé, en faveur des codifications de droit privé, et analyserons dans un second temps les autres facteurs qui ont contribué à leur succès. Somme toute, les conditions de succès pour un Code européen des contrats, et plus encore pour un Code civil, sont loin d’être idéales. Zusammenfassung Der vorliegende Beitrag befasst sich zunächst mit den Charakteristika einer Kodifikation sowie mit den historischen Bedingungen für das Entstehen der nationalen Kodifikationen im späten 18. und frühen 19. Jahrhundert. Er wendet sich dann einer Reihe von Legenden und Fehlvorstellungen zu, die sich um diese Errungenschaft der europäischen Rechtskultur herumranken. Der Vorschlag für eine Verordnung über ein Gemeinsames Europäisches Kaufrecht hat nunmehr das Thema „Kodifikation“ auf die Agenda moderner europäischer Rechtsvereinheitlichung gesetzt. Der Beitrag versucht daher, die Erfolgschancen dieses Vorschlags vor dem Hintergrund der historischen Erfahrung zu beurteilen. Er befasst sich mit den Argumenten, die historisch zugunsten einer Kodifikation des Privatrechts wurden, und mit anderen Faktoren, die zu ihrem Erfolg beigetragen haben. Alles in allem, so das Ergebnis, sind die Vorzeichen für eine Kodifikation des Vertragsrechts, oder gar des Privatrechts insgesamt, nicht günstig.

For the complete transposition of the Treaty (the appropriate national legislation as well), it is necessary to use both the public law of competition in the common interest, as well as measures of private law for victims of violations of competition rules. There are no restrictions on effective redress in the courts in this field. Both the entrepreneur and the consumer, or direct and indirect purchaser, may sue. Compensation should ensure full compensation for the loss suffered by the individual injury. The tension between the leniency programme, which is designed to increase the effectiveness of public enforcement of competition law, and claims for private redress must be resolved by national courts, bearing in mind that private litigants may lack the resources and information to make effective claims for compensation. Résumé Pour la transposition complète du traité (de même que la législation nationale appropriée), il est nécessaire d’utiliser tout à la fois les règles de droit public organisant la concurrence dans l’intérêt général et les mesures de droit privé destinées aux victimes de violations des règles de la concurrence. Il n’y a pas, en ce domaine, d’obstacles à la réparation effective par les tribunaux. L’entrepreneur et le consommateur, tout comme l’acheteur direct et indirect, pourraient agir en justice. L’indemnisation devrait garantir une pleine réparation du préjudice individuel souffert. La tension entre le programme de clémence d’une part, qui est destiné à accroître l’effectivité de la mise en œuvre publique du droit de la concurrence, et d’autre part les demandes de réparation privée, doit être résolue par les juridictions nationales, tout en ayant à l’esprit que les plaideurs privés peuvent manquer de ressources et d’informations pour faire des demandes effectives d’indemnisation. Zusammenfassung Um die Regeln des EU-Vertrages (AEUV) zum Wettbewerbsrecht (und auch die nationale Gesetzgebung) erfolgreich um- und ins Werk zu setzen, muss sowohl auf das öffentliche Recht des Wettbewerbs (im Gemeinwohlinteresse) als auch auf privatrechtliche Regeln zur Kompensation von Geschädigten gesetzt werden. Gerichte richten hierbei keine Effizienzgrenzen für einen Rückgriff auf. Sowohl der Unternehmer als auch der Verbraucher – oder direkte und mittelbare Käufer – haben ein Klagerecht. Entschädigung sollte alle Schäden erfassen, wie sie das jeweilige Privatrechtssubjekt erleidet. Dabei müssen nationale Gerichte die Spannungen auflösen, die sich zwischen einem Programm der Folgenabmilderung (zur besseren hoheitlichen Durchsetzung der Vorgaben) und der privaten Rechtsdurchsetzung ergeben. Dabei haben sie zu bedenken, dass private Kläger nicht die Mittel und auch nicht Information haben mögen, um eine Entschädigung effektiv durchsetzen zu können.

NB: This section presents a series of non legislative actions and legislative acts directly or indirectly linked to contract law, which were adopted at European level between mid-February 2012 and end-August 2012.

The contribution is a follow-up on the overview published in ERCL 2010, 467 and covers the latest developments in 2011 through the first half of 2012. Whereas the report in 2010 predominantly focused on developments in consumer protection in the financial sector, the latest developments revolve around the management of the recent and ongoing financial and sovereign debt crises (illustrated at A). Most of the developments concern measures that seek to stabilize the financial markets and to reform financial supervision. Above all, the EU tries to strengthen the shaken trust in the stability of the banking sector by enacting a regime for the restructuring and resolution of financial institutions (at B I). Similar efforts apply to sovereign debt where the Euro zone seeks to re-establish market confidence with standardized Collective Action Clauses (at B II). The reputation of Credit Rating Agencies has suffered during the financial crisis, and especially the Euro zone is concerned about their power over the financial markets. As a result, the EU is planning reforms of the regulatory regime (see at B III). Naked short-sales and trades in uncovered Credit Default Swaps are eyed suspiciously for their potentially destabilizing effects and have therefore also been subject to regulation (at B IV). In comparison, consumer protection has not been the focus of recent financial services reforms. However, developments have occurred, and we will focus on the proposal for a directive on consumer credit for residential property (at C).

Abstract: This section provides an overview of cases in front of the Court of Justice of the European Union concerning contract law. The present issue is an update to that published at p. 204–220 and covers the period between the end of March 2012 and 6 September 2012 as regards judgments and opinions delivered, and the period up to the beginning of August 2012 as regards proceedings initiated.
