The Proposal for a Common European Sales Law heralds a new stage in the process of creating a European Contract Law. As the CESL is designed as an optional instrument, it may only serve its function as a promoter of internal market transactions if it is attractive enough to lure contracting parties away from well-established domestic legal systems. It is against this yardstick that this paper considers Chapter 5 of the proposal which contains rules on ‘defects in consent’. It is argued that the analysed provisions fall short of the required standard as some essential questions remain unresolved while others are answered, though in an unconvincing manner. In particular, insufficient legislative guidance is provided to mitigate the risks for the reliability of contractual relationships that arise from the open-textured nature of the conditions under which contracts may be avoided. Résumé La proposition d�un droit commun européen de la vente annonce une nouvelle étape dans le processus de construction d'un droit européen des contrats. Le CESL étant conçu comme un instrument optionnel, celui-ci ne peut promouvoir les transactions au sein du marché intérieur qu'à condition qu'il soit assez attrayant pour éviter que les parties contractantes ne se tournent vers les systèmes juridiques nationaux existants. C'est à la lumière de ce critère que le présent article apprécie les règles concernant les ‘vices du consentement’ énoncées dans le Chapitre 5 de la proposition. Il est soutenu que les provisions analysées ne correspondent pas au standard requis étant donné que certaines questions fondamentales restent non résolues, et que d'autres, même si résolues, ne le sont que de manière non convaincante. En particulier, les moyens mis à disposition par le législateur pour réduire les risques liés à la fiabilité des relations contractuelles, qui résultent de l'emploi de termes juridiques vagues dans le cadre des conditions de nullité des contrats, sont insuffisants. Zusammenfassung Der Vorschlag für ein Gemeinsames Europäisches Kaufrecht läutet eine neue Etappe auf dem Weg zu einem Europäischen Vertragsrecht ein. Angesichts seiner Ausgestaltung als optionales Instrument wird das CESL seiner Funktion als Förderer von Transaktionen im Binnenmarkt nur gerecht werden können, wenn es hinreichend attraktiv ist, um Vertragsparteien von der Wahl etablierter nationaler Rechtssysteme abzuhalten. An diesem Ma�stab bewertet dieser Beitrag die Regeln über “Einigungsm�ngel” im Kapitel 5 des Vorschlags. Gezeigt wird, dass die untersuchten Vorschriften nicht dem geforderten Standard entsprechen, weil einige wesentliche Fragen ungelöst bleiben, während andere nur auf nicht überzeugende Art und Weise beantwortet werden. Bemängelt wird insbesondere, dass dem Rechtsanwender nur eine ungenügende Richtschnur an die Hand gegeben wird, um die Risiken für die Verlässlichkeit vertraglicher Bindungen zu verringern, die aus der Verwendung unbestimmter Rechtsbegriffe in Anfechtungstatbeständen folgen.

Following a turbulent three year legislative process the Consumer Rights Directive was adopted in October 2011. Less ambitious than the original proposals, the Directive nevertheless extends the maximal harmonisation approach to a number of aspects concerning the pre-contractual information duties and right of withdrawal in B2C off-premises and distance contracts and also introduces other new features to the consumer acquis. The following paper focuses primarily on the new European rules concerning pre-contractual information obligations and the right of withdrawal. In so doing the authors will demonstrate that in spite of some of the steps forward, the Directive is overall a conservative consolidation that also in some respects takes a number of steps backwards. Its contribution to the development of European consumer contract law is therefore limited, although some of the new measures show an appreciation of the impact of behavioural economics for the most part it follows a rather traditional approach. Résumé Après le processus législatif bien chargé de ces trois dernières années, la directive sur les droits des consommateurs a été adoptée en octobre 2011. Moins ambitieuse que les propositions originales, la directive étend néanmoins l'harmonisation maximale à un certain nombre d'aspects concernant les obligations d'informations précontractuelles et le droit de rétractationdans les contrats B2C entre absents ou à distance et elle ajoute aussi quelques aspects nouveaux à l'acquis des consommateurs. L'article se concentre d'abord sur les nouvelles règles européennes relatives aux obligations précontractuelles d'information et au droit de rétractation. En faisant cela, les auteurs démontreront qu'en dépit de quelques avancées, la directive n'est qu' une consolidation conservatrice et est même en recul sur certains aspects. Sa contribution au développement d'un droit européen des contrats de la consommation est dès lors limitée. En effet, bien que certaines mesures montrent une certaine prise en compte de l'impact de l'économie comportementale, pour la plus grande part, la directive adopte une approche plutôt traditionnelle. Zusammenfassung Im Oktober 2011 wurde nach einem turbulenten Gesetzgebungsverfahren die Verbraucherrechterichtlinie verabschiedet. Obwohl sich die neue Richtlinie in weiten Teilen von dem ursprünglichen Entwurf unterscheidet, erstreckt sich der Ansatz der Vollharmonisierung weiterhin auf die vorvertraglichen Informationspflichten und das Widerrufsrecht in B2C Fernabsatz- und Haustür-Verträgen, welche den Schwerpunkt des folgenden Aufsatzes bilden. Zudem werden einige weitere kleinere Neuregelungen der Richtlinie angesprochen. Im gesamten Aufsatz erläutern die Autoren, dass die neue Richtlinie insgesamt eine zurückhaltende Konsolidierung bildet und einige Aspekte der Richtlinie eher Rückschritte darstellen. Der Beitrag der Richtlinie zu der Entwicklung des europäischen Vertragsrechts könnte daher einerseits als beschränkt angesehen werden, obwohl andererseits die Einbeziehung der Verhaltensökonomie neben herkömmlichen Ansätzen positiv hervorzuheben ist.

Collective bargaining, in a time of free movement of capital and high unemployment, can include extreme concessions by unions and workers, concerning their rights, in exchange for the company's promise to maintain local jobs through local investments. The agreements recently concluded between the automobile company FIAT and Italian Unions constitute a recent example of such an outcome of collective bargaining in a period of economic crisis: Italian workers at FIAT accepted to downgrade their working conditions in unheard ways, in order to benefit from the promise of the company to secure employment in Italy through investing locally, instead of delocalizing production. This paper discusses the legality, under European Union law, and, more precisely, free market rules, of employers' commitments to invest locally and, possibly, repatriate capital invested abroad, especially in other member states. After describing the context and outcome of the “FIAT type” agreements, the article considers whether collective bargaining can be considered as falling outside the scope of free market provisions. It then turns to the question of the horizontal application of free movement of capital and, eventually, to possible justifications of the restriction to free movement of capital resulting from collective bargaining. Résumé La négociation collective, dans un contexte conjuguant la libre circulation des capitaux et un fort taux de chômage, peut conduire les syndicats et les salariés à faire des concessions extrêmes concernant leurs droits, bien au-delà des compromis ordinaires, en échange de promesses de maintien de l'emploi dépendant d' investissements locaux. Les accords récemment conclus entre le constructeur automobile FIAT et plusieurs syndicats italiens fournissent une illustration des résultats de la négociation collective en période de crise : les salariés italiens de FIAT ont accepté une dégradation inédite de leurs conditions de travail afin de bénéficier de l'engagement de l'entreprise de garantir l'emploi en Italie grâce à des investissements sur le territoire, de préférence aux délocalisations de la production. Cet article s'interroge sur la conformité au droit de l'Union européenne et, plus précisément, aux règles du marché intérieur, des engagements des employeurs d'investir localement et, même, éventuellement, de rapatrier des capitaux investis à l'étranger, notamment sur le territoire d'autres Etats membres. Après avoir décrit le contexte et les résultats des accords du type ” FIAT “, l'article examine l'idée que la négociation collective pourrait ne pas entrer dans le champ d'application des règles du marché intérieur. Il envisage ensuite la question de l'application horizontale de la libre circulation des capitaux et, en dernier lieu, la possibilité de justifier les restrictions à la libre circulation des capitaux résultant de la négociation collective. Zusammenfassung Tarifverträge können in einem Umfeld von Kapitalverkehrsfreiheit und hoher Arbeitslosenraten zu sehr weitreichenden Zugeständnissen seitens der Gewerkschaften und Arbeitnehmer führen – im Gegenzug zu einer Zusage des Unternehmens, Betriebsstätten und Arbeitsplätze durch Investitionen am jeweiligen Arbeitsort zu sichern. Beredtes Beispiel sind die jüngsten Tarifverträge mit FIAT, typisch für eine Krisensituation, in denen vorher kaum denkbare Zugeständnisse gemacht wurden – im Gegenzug zur Zusage von Investitionen in Italien (anstelle einer Verlagerung ins Ausland). Dieser Beitrag diskutiert die Rechtmäßigkeit von solchen Vereinbarungen nach Unionsrecht, vor allem auf der Grundlage der Grundfreiheiten, Vereinbarungen der genannten Art, jedoch auch etwa von Abreden, Kapital aus dem Ausland, namentlich aus anderen Mitgliedstaaten, zurückzuholen. Nachdem Kontext und Abrede im FIAT-Fall erörtert wurden, stellt sich der Beitrag die Frage, ob nicht Tarifverträge insoweit außerhalb des Anwendungsbereiches der Grundfreiheiten liegen. Anschließend wird die Frage nach der horizontalen Anwendbarkeit der Kapitalverkehrsfreiheit aufgeworfen und zuletzt auch einer möglichen Rechtfertigung, wenn denn eine Beschränkung des Kapitalverkehrs durch tarifvertragliche Abreden anzunehmen ist.

This section provides an overview of cases in front of the Court of Justice of the European Union concerning contract law. The present issue covers the period between the end of November 2011 and the end of March 2012 as regards judgments and opinions delivered, and the period up to the beginning of February 2012 as regards proceedings initiated.

The judgment of the Fifth Chamber of the Court in Ángel Lorenzo Gonz´lez Alonso v Nationale Nederlanden Vida Cia De Seguros y Reaseguros SAE does not concern startling subject matter, nor is the ruling a surprise. The Court concluded that the exclusion of insurance contracts from the scope of Directive 85/577 on doorstep selling was apt to cover unit-linked insurance contracts. The interest in the ruling lies in the Court's declaration for the third time in recent years that the protection of consumers pursued by the EU's rules is not absolute and is subject to certain limits. The purpose of this note is not to deny this nor to quarrel with the outcome of the Court's cases, but rather to caution that this approach should not be elevated to an interpretative principle apt to challenge the longstanding and constitutionally proper assumption that the EU's legislative acquis shall benefit from a pro-consumer interpretation. In particular it should be appreciated – as the Fifth Chamber appears not to appreciate – that this latest ruling is not of precisely the same type as earlier rulings in which the Court has referred to the limits of consumer protection under EU law.
