Almost every legal system accepts the fundamental principle that promises must be kept (‘pacta sunt servanda’). Yet, a consumer's right to withdraw from a contract for the purchase of goods or services (‘withdrawal right’) figures prominently in European consumer law directives, in the ACQP and in the DCFR. Withdrawal rights imply a significant weakening of the fundamental principle pacta sunt servanda. However, the popular invocation of withdrawal rights is not rooted in a thorough analysis of the purposes such rights might fulfill. This article attempts to provide such an analysis by posing the central normative question: ‘Why Withdrawal Rights?’. It uses the tools of (behavioral) economics to identify three situational categories in which granting a withdrawal right may be justified: information asymmetries at the time of contract formation, exogenous distortions of the consumer's preferences and endogenous distortions. The article also seeks to assess the effectiveness of withdrawal rights in achieving their stated objectives. It contains specific policy recommendations with respect to the mode in which withdrawal rights should be granted, if they are granted at all (i.e. mandatory versus optional, etc.). Résumé La force obligatoire du contrat figure parmi les principes fondamentaux de presque tous les ordres juridiques. Pourtant, les droits de rétractation sont un des instruments essentiels des directives européennes concernant la protection des consommateurs, et ils ont aussi un rôle important dans les Principes acquis (ACQP) ainsi que dans le projet de Cadre commun de référence (PCCR). De tels droits impliquent une atteinte signifiante du principe fondamental ‘pacta sunt servanda’. La popularité des droits de rétractation ne se fonde pas sur une analyse à fond des objectifs que de tels droits pourraient poursuivre. Cet article entreprend de présenter une telle analyse en posant la question normative fondamentale: ‘Pourquoi des droits de rétractation?’. En appliquant des conceptions de l'économie comportementale, trois situations sont identifiées dans lesquelles un droit de rétractation pourrait être justifié: Une asymétrie d'information lors de la conclusion d'un contrat, des perturbations des préférences exogènes du consommateur et des perturbations des préférences endogènes. L'article vise aussi à apprécier l'efficacité des droits de rétractation quant à l'accomplissement de leurs buts. Il contient des propositions spécifiques concernant le mode dans lequel un droit de rétractation, s'il y a lieu, devrait être accordé (par droit impératif, en forme d'option etc.). Kurzfassung In nahezu allen Rechtsordnungen gehört es zu den grundlegenden Prinzipien, dass Verträge eingehalten werden müssen. Gleichzeitig sind Widerrufsrechte für Verbraucher ein wesentliches Instrument der europäischen Verbraucherschutzrichtlinien, und sie spielen auch in den ACQP und im DCFR eine wichtige Rolle. Solche Rechte implizieren eine signifikante Schwächung des fundamentalen Prinzips ‘pacta sunt servanda’. Die Popularität von Widerrufsrechten beruht nicht auf einer gründlichen Analyse der Zwecke, die solche Rechte möglicherweise erfüllen können. Der Aufsatz unternimmt es, eine solche Analyse vorzulegen, indem er die zentrale normative Frage stellt: ‘Warum Widerrufsrechte?’ Unter Anwendung (verhaltens-)ökonomischer Konzepte werden drei Konstellationen identifiziert, in denen die Einräumung eines Widerrufsrechts gerechtfertigt sein könnte: Informationsasymmetrien bei Vertragsschluss, exogene Präferenzstörungen des Verbrauchers und endogene Präferenzstörungen. Der Artikel versucht auch, die Effektivität von Widerrufsrechten im Hinblick auf die Erreichung ihrer Zwecke zu beurteilen. Er enthält spezifische Vorschläge hinsichtlich der Art der Einräumung von Widerrufsrechten (durch zwingendes Recht, als Option etc.), sofern diese überhaupt eingeräumt werden sollten.

The purpose of the present article is to propose a coordination between the provisions of directive 93/13/EEC (the Unfair Terms Directive, ‘UTD’) and those of the ‘framework’ directive 2005/29/EC (the Unfair Commercial Practices Directive ‘UCPD’), and in particular to assess whether the ‘use of unfair terms’ as meant by the UTD entails and shall be treated by the Member States as an ‘unfair commercial practice’. It is herein argued that the use of unfair terms (as understood by the UTD) will normally entail the constitutive elements of an unfair business-to-consumer commercial practice (as specified by the UCPD), namely a ‘misleading action’, since it will usually amount to the supply of false information or be capable of misleading the average consumer during the performance of the contract as to the parties' rights and obligations arising under the contract, in particular as to rights and obligations literally provided by terms which are legally non-binding on the consumer. Secondly, it is observed that the use of written terms which are not drafted in plain, intelligible language shall always be deemed prohibited pursuant to the UTD, while in those cases entailing a lack of transparency about ‘material information’, as defined by Article 7 of the UCPD, the relevant practice shall also be construed as an unfair commercial practice, namely a ‘misleading omission’. Thirdly, it is attempted to demonstrate that no conflict exists between the provisions of Articles 5 and 7 of the UTD (on one side) and the provisions of the UCPD (on the other side), and that, as a consequence, Member States must ensure that the commercial practices consisting in the use of unfair terms and the use of non-transparent terms are made subject to the national provisions adopted in application of the UCPD. Finally, a recommendation for a better coordination with the UCPD is put forward in relation to the recent Proposal for a Directive on Consumer Rights. Résumé Le but du présent article est de proposer une coordination entre les dispositions de la directive 93/13/CEE (la directive sur les clauses abusives) et celles de la directive cadre 2005/29/CE (la directive sur les pratiques commerciales déloyales), et en particulier d'apprécier si l'utilisation des clauses abusives comme entendues par la première directive suppose et sera traitée par les États membres comme une pratique commerciale déloyale. Il est ici soutenu que l'utilisation des clauses abusives (comme comprises par la directive) impliquera normalement l'existence des éléments constitutifs d'une pratique commerciale déloyale (au sens de la directive de 2005) entre professionnels et consommateurs, c'est-à-dire une action de nature à induire en erreur, et ce dans la mesure où elle consistera habituellement à fournir des informations fausses ou à induire en erreur le consommateur moyen durant l'exécution du contrat quant aux droits et obligations des parties résultant du contrat, en particulier quant aux droits et obligations littéralement prévus par les clauses ne liant pas légalement le consommateur. En second lieu, il est ici observé que l'utilisation de clauses écrites qui ne sont pas rédigées en langage clair et intelligible devraient toujours être interdites au regard de la directive sur les clauses abusives, et que, dans ces cas impliquant un manque de transparence sur les informations pertinentes comme définies par l'article 7 de la directive sur les pratiques déloyales, les pratiques en cause devraient également être qualifiées de pratiques commerciales déloyales, plus précisément d'omission trompeuse. En troisième lieu, nous essayons ici de démontrer qu'aucun conflit n'existe entre les dispositions des articles 5 et 7 de la directive sur les clauses abusives d'une part, et les dispositions de la directive sur les pratiques commerciales déloyales d'autre part, et que, par conséquent, les États membres doivent s'assurer que les pratiques commerciales consistant à utiliser des clauses abusives et à rédiger des clauses obscures sont soumises aux dispositions nationales adoptées en application de la directive sur les pratiques commerciales déloyales. En dernier lieu, il est fait une recommandation pour une meilleure coordination avec la directive sur les pratiques commerciales déloyales en relation avec la récente proposition de directive sur les droits des consommateurs. Kurzfassung In diesem Beitrag wird eine integrierte Sicht vorgeschlagen für die Anwendung der AGB-Richtlinie (93/13/EWG) und der Geschäftspraktiken-Richtlinie (2005/29/EG), wobei sich vor allem die Frage stellt, ob die Verwendung missbräuchlicher Klauseln iSd erstgenannten Richtlinie zugleich auch eine “unlautere Geschäftspraxis” iSd zweitgenannten Richtlinie darstellt. Diese Frage wird grundsätzlich bejaht: Solch eine Verwendung wird vor allem als “irreführende Geschäftspraxis” gesehen, da idR falsche Information vermittelt wird oder aber der Verbraucher im Unklaren bleibt über seine Rechte und Pflichten bei der Vertragsdurchführung, insbesondere im Hinblick auf Rechte und Pflichten aus den missbräuchlichen (und damit unwirksamen) AGB. Sodann werden insbesondere AGB, die das Transparenzgebot der AGB-Richtlinie verletzen, als Verstöße auch gegen die Geschäftspraktiken-Richtlinie qualifiziert, weil damit auch “wesentliche Informationen” iSv Artikel 7 dieser Richtlinie vorenthalten werden. Zuletzt wird aufgezeigt, dass zwischen Artikel 5 und 7 der Geschäftspraktiken-Richtlinie und den Vorgaben der AGB-Richtlinie kein Konflikt besteht und dass daher die genannten missbräuchlichen oder intransparenten AGB den nationalen Sanktionsmechanismen unterworfen werden müssen, die in Umsetzung der Geschäftspraktiken-Richtlinie eingeführt wurden. Für die bessere Koordinierung beider Richtlinien im Zusammenhang mit der Verabschiedung einer Verbraucherrechte-Richtlinie wird abschließend ein Vorschlag unterbreitet.

The draft of the part on the law of obligations of the future Serbian Civil Code has recently been published, which includes new and revised rules on contract law. Through the process of adopting the new Serbian Civil Code, it can clearly be seen that Serbia faces two harmonisation challenges: the first being to reintegrate itself with other European civil law systems, while the second is to harmonise its national contract law with the latest developments of European Contract Law. In the first part of this article, I will examine the development and evolution of Serbian Contract Law, first evident in the first Serbian Civil Code of 1844. The second part of the article will deal with the contract law in the recently presented draft of the part of future Serbian Civil Code dealing with the law of obligations.

German Contract Law is still under the impression of the large contract law reform of 1 st January 2002, the Schuldrechtsmodernisierung, and the case law, in large part by the German Civil Law Supreme Court, the Bundesgerichtshof, continues to elaborate on the system. This article is an up-date to the one published in this review in 2007, p. 450, and discusses further clarification with respect to questions such as the one under which circumstances a first level remedy such as repair or replacement would seem to be ‘disproportionate’, which steps exactly have to be ‘free of charge’ in cases where goods purchased have been transported to another place or fixed to or integrated into other property, whether and in how far the investment services regime under the MiFID gives as well contractual rights to clients, for instance with respect to kick-back payments or other duties owed. The contribution further discusses such questions (outside the realm of directives) as the one whether the mechanism of a second chance should apply as well in cases where the defective good already causes damages in the business of the purchaser before the time limit set for second delivery has lapsed or whether the concept of pre-contractual fault (culpa in contrahendo) can apply besides the legal warranty regime installed by the directive. Thus, the German case law deserves attention as an answer to many questions raised by the acquis communautaire and beyond.
