Since two years the European Commission discusses a reform of unfair terms regulation in consumer contracts. The debate focuses around the transformation of the minimal into the maximum standards. This paper argues that the truly relevant problems which deserve to be considered are not yet on the agenda: (1) linking individual and collective enforcement, (2) gaps in the scope of application: standard terms or individually negotiated terms, core terms, (3) black, grey lists and general clauses – a consistent approach, (4) introduction of a skimming off procedure as complement to the action for injunction. The overall aim is to formulate concrete proposals which should be introduced into the discussion. Résumé Depuis deux ans, la Commission européenne discute d'une réforme des clauses abusives dans les contrats de consommation. Le débat se concentre sur le passage de standards minimums à des standards maximums. Cet article soutient que les problèmes vraiment pertinents qui mériteraient d'être pris en considération ne sont pas encore à l'ordre du jour : 1) lier l'exécution individuelle et collective, 2) les lacunes dans le domaine d'application : clauses imposées ou individuellement négociées, clauses essentielles, 3) listes noire et grise ainsi que les clauses générales – une approche cohérente, 4) l'introduction d'une procédure de suppression des clauses, en complément d'une action en injonction. Le but principal est de formuler des propositions concrètes qui pourraient être introduites dans la discussion. Zusammenfassung Die Europäische Kommission diskutiert seit 2 Jahren eine Reform des Rechts der Allgemeinen Geschäftsbedingungen. Im Zentrum steht die Umformung der Minimalharmonisierung in eine Maximalharmonisierung. Dieser Beitrag argumentiert, dass die wesentlichen Probleme, die eine Reform angehen sollte, nicht auf der Tagungsordnung der Kommission stehen. Hierzu zählen: (1) die Verzahnung von individueller und kollektivver Rechtsdurchsetzung, (2) Lücken im Anwendungsbereich: AGB- oder Individualkontrolle, Kontrolle von Preis- und Leistungsklauseln, (3) die systematische Verknüpfung der schwarzen und grauen Listen mit der Generalklausel, (4) die Ergänzung der Unterlassungsklage um einen Gewinnabschöpfungsanspruch. Ziel ist es mit konkreten Lösungen aufzuwarten, die Eingang in die aktuelle Debatte finden sollten.

EU law comprises a large body of legislation in the area of transport and travel. Contract law plays a prominent role in this area with the Package Travel Directive 90/314/EEC, Regulation 1371/2007 on rail passengers' rights and obligations and Regulation 261/2004 on compensation and assistance to passengers in the event of denied boarding and of cancellation or long delay of flights. The Court's competence to interpret and develop the law is particularly important with regard to the Regulations as directly applicable instruments. The Sturgeon-decision illustrates that the uniformity of the applicable rules contrasts with a disagreement in regard to methods of the law. Under the cover of interpretation, the Court establishes a new claim to compensation for delay. Despite the importance of the decision, the Court's argument is rather thin and not based on firm methodological ground. The article analyses the judgment from a standpoint of German-tongue methodology. Based on considerations of constitutional law, it argues for a distinction between interpretation and judicial development of the law. Beyond the questions raised by the decision in Sturgeon, there is a need for a European discourse on methods of the law. National perspectives should enter into a European competition of methods, EU primary law delineates the constitutional boundaries for this endeavour. Résumé Le droit de l'Union européenne comprend un large ensemble de législations dans le domaine du transport et des voyages. Le droit des contrats joue un rôle proéminent dans ce domaine avec la directive 90/314/EEC sur les voyages, vacances et circuits à forfait, le règlement 1371/2007 sur les droits et obligations des voyageurs ferroviaires, et le règlement 261/2004 sur l'indemnisation et l'assistance des passagers en cas de refus d'embarquement et d'annulation ou de retard important de vol. La compétence de la Cour pour interpréter et développer le droit est particulièrement importante en ce qui concerne les règlements qui sont des instruments directement applicables. La décision “Sturgeon” illustre que l'uniformité des règles applicables contraste avec un désaccord en ce qui concerne les méthodes de la réglementation. Sous couvert d'interprétation, la Cour admet une nouvelle revendication d'indemnisation pour retard. Malgré l'importance de la décision, l'argumentation de la Cour est plutôt mince et n'est pas basée sur un fondement méthodologique ferme. L'article analyse la décision du point de vue méthodologique allemand. Fondé sur des considérations de droit constitutionnel, il propose une distinction entre interprétation et développement judiciaire du droit. Au-delà des questions soulevées par la décision dans le cas “Sturgeon”, il y a besoin d'un discours européen sur les méthodes du droit. Les perspectives nationales devraient entrer dans une compétition européenne sur les méthodes, et le droit primaire de l'Union européenne délimite les frontières constitutionnelles d'une telle tentative. Zusammenfassung Das Unionsrecht ist im Bereich des Transport- und Reiserechts vergleichsweise dicht geregelt. Das Vertragsrecht spielt dabei eine herausragende Rolle mit der Pauschalreise-Richtlinie 90/314/EWG, der Verordnung 1371/2007 über Rechte und Pflichten der Fahrgäste im grenzüberschreitenden Eisenbahnverkehr sowie der Verordnung 261/2004 über eine gemeinsame Regelung für Ausgleichs- und Unterstützungsleistungen für Fluggäste im Fall der Nichtbeförderung und bei Annullierung oder großer Verspätung von Flügen. Die Kompetenz des Gerichtshofs, das Recht zu interpretieren und fortzuentwickeln, ist im Hinblick auf die unmittelbar anwendbaren Verordnungen besonders wichtig. Die Sturgeon-Entscheidung zeigt, dass die Einheitlichkeit der geltenden Regeln in gewissem Gegensatz zu Unstimmigkeiten im Bezug auf die Methode steht. Unter dem Deckmantel der Auslegung schafft der Gerichtshof einen neuen Anspruch auf Entschädigung bei verzögerter Beförderung. Trotz der Bedeutung der Entscheidung ist die Argumentation des Gerichts eher dünn und nicht auf einer festen methodischen Grundlage. Der Artikel analysiert das Urteil vom Standpunkt der deutschen Methodenlehre. Basierend auf verfassungsrechtlichen Überlegungen plädiert er für eine klare Unterscheidung von Auslegung und Fortbildung des Rechts. Über die durch die Sturgeon-Entscheidung aufgeworfenen Fragen hinaus besteht Bedarf für einen europäischen Diskurs über die Methoden des Rechts. Nationale Perspektiven sollten in einen europäischenWettbewerb der Methoden eintreten. Das Unionsprimärrecht umreißt dabei die verfassungsrechtlichen Grenzen.

Fundamental rights have gained increasing importance in the regulation of the Internal Market through legislative harmonization. Since they do so irrespective of whether the instrument is of a private law nature (or not) or capable of affecting private law relationships (or not), this will inevitably reflect on the domestic legal orders which have to implement the legislation. Taking this as its starting point, this paper analyses the interplay between EU fundamental rights in internal market legislation (more specifically consumer law legislation) on the one hand, and the national private law, on the other. It identifies and discusses the mechanisms by which the former can have an effect on the latter, thereby revealing the nature, degree and potential of the impact, which is arguably already strong, as well as the role that the Charter of Fundamental Rights may play in this respect. Résumé Les droits fondamentaux ont pris une importance croissante dans la régulation du marché intérieur à travers l'harmonisation législative. Comme ils le font indépendamment du point de savoir si l'instrument est de droit privé (ou non) ou capable d'affecter les relations de droit privé (ou non), cela se reflètera inévitablement sur les ordres juridiques domestiques qui ont à mettre en oeuvre la législation. Prenant ceci comme un point de départ, cet article analyse les interactions entre les droits fondamentaux de l'Union européenne sur les législations des marchés intérieurs (plus particulièrement les législations sur les consommateurs) d'une part, et les droits privés nationaux d'autre part. Il identifie et discute les mécanismes par lesquels les premiers peuvent avoir un effet sur les seconds et, par conséquent, révéler la nature, le degré et la probabilité de l'impact, qui est sans doute déjà fort, de même que le rôle que la Charte des droits fondamentaux peut jouer à cet égard. Zusammenfassung Grundrechte haben zunehmendes Gewicht in der Regulierung des Binnenmarktes durch Harmonisierung. Da dies unabhängig davon gilt, ob der jeweilige Harmonisierungsakt Privatrecht regelt und Rechtsverhältnisse zwischen Privatrechtssubjekten betrifft oder nicht, wirkt sich dies unausweichlich auch in den nationalen Rechtssystemen aus. Denn diese haben jene Rechtsakte umzusetzen. Auf der Grundlage dieser Erkenntnis analysiert der vorliegende Beitrag das Verhältnis zwischen EU-Grundrechten in der Binnenmarktregulierung (vor allem Verbraucherrechtsharmonisierung) auf der einen Seite und dem nationalen Recht auf der anderen. Dabei werden die Mechanismen unterschieden und diskutiert, auf denen die Einwirkung der Grundrechte auf das nationale Recht vor allem beruht, und so ihre Natur und ihr Umfang näher bestimmt. Diese sind offenbar bereits erheblich. Diskutiert werden vor allem auch die Grundrechtecharta und ihr möglicher Einfluß.

On those grounds, the Court (First Chamber) hereby rules: Council Directive 93/13/EEC of 5 April 1993 on unfair terms in consumer contracts must be interpreted as meaning that a national court or tribunal hearing an action for enforcement of an arbitration award which has become final and was made in the absence of the consumer is required, where it has available to it the legal and factual elements necessary for that task, to assess of its own motion whether an arbitration clause in a contract concluded between a seller or supplier and a consumer is unfair, in so far as, under national rules of procedure, it can carry out such an assessment in similar actions of a domestic nature. If that is the case, it is for that court or tribunal to establish all the consequences thereby arising under national law, in order to ensure that the consumer is not bound by that clause.

The contribution is a follow-up on the overview published in ERCL 2008, 45 and covers the latest developments from 2007 through the first half of 2010. The law with respect to prudential supervision has changed little; there are, however, changes underway as a reaction to the financial crisis (see section I). More importantly, however, contract law developed considerably. Important new legislation has been adopted in the area of commercial banking, while the Market in Financial Instruments Directive of 2004 (MiFID) and its transposition were at the centre of the last report. New legislation has now been adopted in the other two important sectors of banking business and thus the series of second generation of banking law directives is complete. In the area of bank loans, harmonisation has changed considerably with the new EU Consumer Credit Directive of 2008. In the area of the payment business, changes have been even more drastic, as virtually all payment instruments have now been harmonised with the new EU Payments Systems Directive of late 2007, and this not only for the consumer area. This directive now covers: credit transfers, credit and debit cards, and direct debits. The importance of the new material makes it necessary to concentrate on these two measures mainly (sections II and III) and to add only two short sections on important developments under the MiFID (section IV) and on some general considerations concerning the overall picture now reached in European Banking Contract Law (section V).
