Der besondere Vertreter nach § 147 AktG fristet in der Praxis bislang weitgehend ein Schattendasein. Die in jüngster Zeit geführten Verfahren zeigen aber, dass über eine Neubewertung dieses Instruments nachgedacht werden muss. Einerseits haben Sie zur Erkenntnis geführt, dass seine Aktivierung auch einer Aktionärsminderheit möglich ist. Anderseits machen sie deutlich, welche Fülle von ungeklärten Rechtsfragen damit verbunden ist. Der Beitrag untersucht die Grundfragen der Anspruchsverfolgung nach § 147 AktG und zeigt Möglichkeiten seiner Fortentwicklung auf.

The assertion of claims regarding executive liabilty by special representatives (§ 147 German Stock Corporation Act – GSCA) has received comparativly little attention in the past. Recent cases show the need for a comprehensive analysis. First they highlight the far reaching impact of an action for damages that can be filed on a ground no other than an ordinary resolution of the shareholder meeting. That applies most notably where the majority shareholder is excluded from voting rights (§ 136 GSCA). Futhermore they show a number of fundamental questions regarding the legitimacy and the role of the special representative with respect to the shareholder suit (§ 148 GSCA) and the appointment of special auditors (§ 142 GSCA). Main emphasis must be placed on rights of pretrial investigation that can be associated with the mandate of the special representative. The following paper examines the fundamentals of § 147 GSCA and determines the need for reform.
