Abstract: In this paper, the author explores some of the difficulties facing English lawyers in implementing EC directives in the area of ‘contract law’ and compares them with those facing lawyers in systems with codified private laws. To do so, he identifies four significant features of the EC contract law directives: the ambiguity of what is meant by ‘contract law’ for this purpose, there being a contrast between a traditional sense of the law governing the rights arising in a contracting party against the other and ‘policing measures’ in relation to the behaviour of contracting parties; the special nature of the regulation which the directives require and the relative absence of ‘general clauses’; the relationship of the contract law rules of the directives to national law distinctions between public and private law; and the particular, ‘European’ nature of the uncertainty which affects many of the concepts which the directives use. The author explains how these features affect the form of the reception of the directives into national laws, identifying differences between laws where codification is important and English law where it is all but absent. However, English law shares with codified laws a number of substantive problems in implementing contract law directives, notably, in terms of the question whether the rules and concepts which the directives use can be melded with existing national legislative rules (often as interpreted by national case-law) so as to achieve a true integration (and not a mere implementation) of the EC regulation into national laws. In dealing with these problems, the minimum nature of the harmonisation required by many contract law directives allows Member States to extend a directive's scheme in a way which permits it to fit into national law more harmoniously, but even where this is so, sometimes the substantive strategy of a directive clashes with much more general strategies of their national laws. Finally, the author sees the clearer definition of concepts used by the directives as contributing significantly to the resolution of some of the problems which he identifies, this allowing Member States a better sense of how to go about the true integration of the regulation which the directives require with the surrounding regulation of national laws.   Résumé: Dans cet article, l'auteur explore quelques unes des difficultés que doivent affronter les juristes anglais dans la mise en œuvre des directives européennes dans le domaine du droit des contrats, et il les compare avec celles qu'éprouvent les juristes dans les pays ayant codifié leur droit privé. Dans ce but, il identifie quatre traits caractéristiques des directives européennes en droit des contrats: l'ambiguüté de ce que l'on entend par ‹droit des contrats› à cet égard, car il y a un contraste entre un sens traditionnel correspondant aux droits d'un contractant contre l'autre, et les ‹mesures de police› gouvernant le comportement des parties contractantes; la nature spécifique de la régulation mise en place par les directives et la relative absence de ‹clauses générales›; la relation entre les règles de droit des contrats des directives et les distinctions nationales entre droit public et droit privé; enfin la nature ‹européenne› de l'insécurité qui affecte plusieurs concepts utilisés par les directives. L'auteur explique comment ces caractéristiques affectent la forme de la réception des directives dans les droits nationaux, et identifie des différences entre les droits où la codification est importante, et le droit anglais où elle est pour le moins absente. Cependant, le droit anglais partage avec les droits codifiés un nombre de problèmes substantiels dans la mise en œuvre des directives relatives au droit des contrats, notamment sur le point de savoir si les règles et concepts utilisés par les directives peuvent être mélangés avec les règles nationales existantes (souvent telles qu'interprétées par les juridictions nationales), afin de parvenir à une véritable intégration (et pas simplement une mise en œuvre) de la législation communautaire dans les droits nationaux. En traitant ces questions, il apparaît que la nature minimale de l'harmonisation requise par de nombreuses directives en droit des contrats autorise les États membres à étendre le sens d'une directive de telle sorte qu'elle trouve sa place plus harmonieusement dans les droits nationaux, mais même lorsque c'est le cas, parfois, la stratégie substantielle d'une directive heurte les stratégies des droits nationaux. En définitive, l'auteur estime que plusieurs des problèmes qu'il identifie pourraient être résolus par une définition plus claire des concepts utilisés par les directives, donnant ainsi aux États membres une meilleure idée sur la façon de procéder à une réelle intégration de la régulation souhaitée par les directives compte tenu de l'environnement juridique national.   Kurzfassung: In diesem Beitrag untersucht der Autor die Schwierigkeiten, denen englische Juristen begegnen, wenn sie EU-Richtlinien im Vertragsrecht umsetzen und vergleicht diese mit den Problemen von Juristen in Rechtskreisen, deren Privatrecht kodifiziert ist. In diesem Zusammenhang identifiziert er vier Wesenmerkmale von EU-Richtlinien im Vertragsrecht: Die Mehrdeutigkeit des Begriffes ‚Vertragsrecht‘, wobei es einen Widerspruch zwischen dem herkömmlichen Verständnis vom Recht, das die Ansprüche der einen Vertragspartei gegen die andere bzw. welches ‚kontrollierende Maßnahmen‘ im Zusammenhang mit dem Verhalten der Vertragsparteien regelt; die Besonderheiten in der Rechtsetzung, die bei Richtlinien notwendig sind, und das Fehlen von ‚Generalklauseln‘; das Verhältnis vom Vertragsrecht in den Richtlinien zu den nationalen Unterscheidungen zwischen privatem und öffentlichem Recht; zuletzt die besondere ‚europäische‘ Unsicherheit, die bei vielen von den Richtlinien verwendeten Konzepten zu beobachten ist. Der Autor erklärt, wie sich diese Merkmale auf die Art und Weise der Umsetzung in die nationalen Rechte auswirkt, wobei er Unterschiede zwischen den Rechtsordnungen mit kodifiziertem Privatrecht und dem englischen Recht, wo eine Kodifikation fehlt, herausarbeitet. Dennoch hat das englische Recht mit den anderen Rechtsordnungen eine Reihe von Umsetzungsproblemen gemeinsam, insbesondere ob das bestehende nationale Recht (häufig in der Auslegung der nationalen Rechtsprechung) mit den in den Richtlinien getroffenen Regelungen vermischt werden sollte, um eine wirkliche Integration (und nicht bloß eine simple Umsetzung) von europäischem Recht zu erreichen. Das von vielen vertragsrechtlichen Richtlinien verwendete Konzept der Mindestharmonisierung erlaubt es dabei den Mitgliedstaaten über den Anwendungsbereich einer Richtlinie hinaus harmonisierend die Umsetzung ins nationale Recht vorzunehmen, aber selbst wenn dies so ist, kollidieren die Konzepte von Richtlinien gelegentlich mit den Konzepten der nationalen Rechte. Letztendlich sieht der Autor in der klareren Definition der von Richtlinien verwendeten Konzepte einen wesentlichen Beitrag zur Lösung vieler der von ihm aufgezeigten Probleme, weil es den Mitgliedstaaten dadurch erleichtert wird, die von den entsprechenden Richtlinien angestrebte Integration ins nationale Recht zu verwirklichen.

Abstract: This article addresses the problem of racial and sex discrimination in contracting with a view to determining whether the adoption of a non-discrimination norm in general contract law is an efficient remedy against discrimination. Regulatory intervention in contracting is necessary to reduce discrimination when competitive markets are not effective in penalizing sellers who act on discriminatory preferences. However, regulatory intervention in contracting to forbid the use of race or sex as signals for underlying cost characteristics increases information costs for all customers and brings about costly offsetting redistributions of wealth, possibly to the disadvantage of the intended beneficiaries of the non-discrimination policy. The non-discrimination norm in general contracting is therefore optimally structured as a standard which merely prohibits unreasonable discrimination. With sufficiently high sanctions to facilitate enforcement in cases where damages are small, such a standard – when comprising an economic balancing test – would deter invidious forms of discrimination, but would result in upholding some sex or racial discrimination in contracting on efficiency grounds.   Résumé: Cet article traite de la question des discriminations raciales et sexuelles dans les contrats, dans le but de déterminer si l'adoption d'une norme de non-discrimination dans le droit commun des contrats serait un remède efficace contre les discriminations. Un contrôle du processus contractuel est nécessaire pour réduire les discriminations quand les marchés compétitifs ne sont pas suffisants pour pénaliser les vendeurs qui agiraient de façon discriminatoire. Cependant, une réglementation interdisant aux contractants de prendre en considération la race ou le sexe comme des facteurs potentiels de coûts, augmente les coûts d'information pour tous les consommateurs, et occasionne des redistributions de richesses coûteuses, parfois au détriment même des bénéficiaires initiaux des mesures de non-discrimination. C'est pourquoi la norme optimale de non-discrimination dans le processus contractuel est un standard qui interdit simplement la discrimination déraisonnable. Avec des sanctions suffisamment lourdes pour faciliter l'exécution dans les cas où les dommages sont légers, un tel standard – quand il comporte un bilan coûts-avantages – empêcherait les formes néfastes de discrimination, tout en permettant de procéder à certaines discriminations dans les contrats sur des bases efficaces.   Kurzfassung: Dieser Beitrag beschäftigt sich mit dem Problem von Diskriminierung aufgrund von Geschlecht und Rasse in Verträgen im Blick auf die Frage, ob die Aufnahme einer Antidiskriminierungsnorm im allgemeinen Vertragsrecht ein effizientes Mittel gegen Diskriminierung ist. Ein solcher Eingriff in die Vertragsfreiheit ist zur Reduzierung von Diskriminierung notwendig, wenn die Märkte nicht kompetitiv genug sind, um die Verkäufer für diskriminierendes Verhalten abzustrafen. Allerdings erhöht die gesetzgeberische Intervention in die Vertragsfreiheit, um Rasse und Geschlecht als Bewertungskriterien zu verbieten, die Informationskosten für alle Kunden und bringt eine kostenintensive Umverteilung des Wohlstands, möglicherweise zum Nachteil derjenigen, deren Schutz intendiert war. Die optimale Antidiskriminierungsvorschrift im allgemeinen Vertragsrecht ist lediglich ein Standard, der die unangemessene Diskriminierung verbietet. Mit ausreichend harten Strafen zur Erleichterung der Durchsetzung auch geringer Schäden würde ein solcher Standard – wenn er in ökonomischer Hinsicht vernünftig ist – schwere Formen der Diskriminierung verhindern, zugleich aber gewisse Diskriminierungen in Verträgen aus Effektivitätsgründen erlauben.

NB: This section presents a series of non legislative actions and legislative acts directly or indirectly linked to contract law, which were adopted at European level between Mid-May 2007 and end July.

After five years, core questions regarding the large contract law reform in Germany of 2002, the Schuldrechtsmodernisierung, have been answered in the case law, mostly by the German Supreme Court. The article discusses clarifications with respect to: the extent to which consumer law protection applies; the concept of non-conformity with the contract and the remedies based on such non-conformity under the EC Sales Directive (and its German transposition); the different kinds of damages which can be distinguished and questions of their computation; and finally the role which the new legal model plays when standard contract terms in pure business transactions are controlled. The German case law is astonishingly dense in all these respects already.

Private enforcement of European competition law is still in a state of underdevelopment. The European Commission is considering steps to facilitate claims for private damages in cases of breach of Articles 81 and 82 EC Treaty. The lack of hierarchy between the different goals of private enforcement, in particular deterrence and compensation, makes legal reforms in this area difficult. Mechanisms increasing the deterrent effect of private damages claims, such as the award of multiple damages or allowing opt-out collective actions, may conflict with legal principles prohibiting over-compensation in individual cases or guaranteeing basic rights of defence. Facilitating private enforcement also entails the risk of unmeritorious suits and may cause counter-productive interference with public enforcement schemes, such as leniency programmes. Finally, to create a ‘level playing field’ for industry in Europe, harmonisation measures are needed. One should be cautious that the ensuing harmonisation costs do not exceed the expected benefits of private damages claims for infringements of European competition law.
