Contractual Liability of Online Platform Operators: European Proposals and established Principles

Abstract
The contractual responsibility of online platform operators has been subject to an intensive debate in the recent past. While the operators of transaction platforms usually seek the role of mere intermediaries without considerable liability for the proper performance of the main contracts, there is increasing support for extending their responsibility. The ‘Discussion Draft of a Directive on Online Intermediary Platforms’, published by a group of European scholars in 2016, can be seen as an important landmark in this debate. The following article will analyse the provisions of this draft on the platform operators’ liability towards the users of the platform. It shall be argued that strict transparency requirements on the role of the platform operators are to be welcomed but that other proposals for a tightened liability based on the idea of economic influence do not accord with established contractual principles which should hold true for the platform economy as well.
Résumé
La responsabilité contractuelle des opérateurs de plateformes en ligne a fait l’objet récemment d’un intense débat. Alors que ces opérateurs prétendent généralement remplir un simple rôle d’intermédiaire, sans implication dans l’exécution du contrat principal, il y a une tendance croissance dans le sens de l’extension de leur responsabilité. Le projet pour une Directive sur la responsabilité des opérateurs de plateformes en ligne, publié par un groupe de chercheurs européens en 2016, peut être vue comme le point d’orgue de ce débat. Cet article se donne pour objectif d’analyser les dispositions de ce projet concernant la responsabilité des opérateurs à l’égard des utilisateurs de ces plateformes. Il est soutenu ici que les exigences strictes de transparence s’agissant de l’intervention des opérateurs sont bienvenues mais que d’autres propositions tendant à durcir leur responsabilité sur le fondement du paramètre d’influence économique ne s’accordent pas bien avec des prinbcipes bien établis du droit des contrats, qui devraient valoir également pour l’économie des plateformes aussi.
Zusammenfassung
Die vertragsrechtliche Haftung von Betreibern von Online-Plattformen wird in jüngerer Zeit intensiv diskutiert. Während sich diese Betreiber idR darauf berufen, sie handelten als bloße Vermittler ohne nennenswerte Haftung für die vertragsgemäße Erfüllung der Hauptverträge, wird zunehmend für eine Ausweitung ihrer Verantwortlichkeit plädiert. Der „Diskussionsentwurf für eine Richtlinie über Online-Vermittlungsplattformen“, den eine Gruppe von Wissenschaftlern 2016 veröffentlicht hat, kann als wichtige Wegmarke in dieser Debatte gesehen werden. Der Beitrag analysiert die Bestimmungen dieses Entwurfs zur Haftung gegenüber den Plattformnutzern. Im Ergebnis werden strenge Transparenzanforderungen in der Frage befürwortet, welche Rolle die Plattform bei der Vertragsdurchführung exakt übernimmt, hingegen Bestimmungen abgelehnt, in denen eine weiterreichende Haftung aus dem Gedanken eines „beherrschenden Einflusses“ hergeleitet wird, weil eine solche vertragsrechtlichen Grundprinzipien widerspricht, die auch in der Plattformwirtschaft gelten sollten.
